Background

TCorp’s Corporate Finance unit, working as part of the broader Treasury, Client & Risk Services team, provides advisory services to NSW Treasury and other public sector agencies on asset and infrastructure procurement and financing, and other structured finance transactions.  Advice is provided during various phases of procurement and ongoing management of transactions.   Corporate Finance seeks to ensure that the state achieves value for money, and results are achieved within acceptable risk parameters.

Under the provisions of Treasury Circular 98/07 NSW Treasury utilises the services of TCorp to review, consider and, if required, recommend and implement complex financing transactions, including leases and structured asset acquisitions.

Corporate Finance personnel have considerable financial and commercial experience of public and private sector transactions, and well developed quantitative and financial modelling skills.  Their experience covers a wide range of asset types and procurement structures from relatively straightforward tenders to the most complex public private partnership (PPP) transaction.  In carrying out its activities, the Corporate Finance unit is able to draw on the financial markets expertise of TCorp’s Treasury and Economic resources.

Types of Transactions and Services

TCorp’s analytical, commercial and financial advice can apply to existing or potential transactions. Work includes:

  •   Assessing potential financing structures for asset acquisitions or new projects
  •   Identifying and managing associated financial and other risks
  •   Evaluating the financial capacity of tenderers for supply contracts or infrastructure procurement projects
  •   Assisting in the preparation and development of tender documents and evaluation methodology
  •   Participating in the assessment of private sector tender bids as members of evaluation panels or financial or   commercial sub-panels, or as advisers to these panels
  •   Preparing, or reviewing and commenting on, financial or commercial reports and submissions
  •   Analytical support and financial modelling, including the preparation of cost comparators or Public Sector   Comparators  
  •   Being involved in the financial close of transactions including independent attestation of market rates
  •   Undertaking or assisting with the ongoing management of financing transactions  
  •   Database creation and extraction of asset and financing information  

Much of the work involves assessment of funding options from different private sector providers and a comparison of external financing options with a public sector funding alternative.

The Corporate Finance unit is also responsible for monitoring potential cross-border transactions and implementation where required.

TCorp is co-manager of over $600m motor vehicle lease facilities for NSW Government agencies and has responsibility for the ongoing management of the State’s cross border lease transactions.

Simon Wilson
Senior Manager Corporate Finance

Simon Wilson joined TCorp in March 1997.Simon has more than twenty years experience in dealing with a variety of structured financing transactions, gained from working for investment banks in their corporate banking and structured finance areas, and as finance manager for a large international corporate group.   

During his time with TCorp Simon has worked on a range of financings and advisory assignments including PPP and other major infrastructure projects, cross-border leasing and motor vehicle leasing.

Kevin Pugh
Senior Manager Corporate Finance

Kevin Pugh joined TCorp in March 2000.Kevin has extensive experience in both private sector banking and government.Prior to joining TCorp Kevin worked for State Transit and was responsible for the strategic financial planning and reporting functions.These responsibilities included development of financial planning, review of major capital investments and developing and implementing asset financing strategies.

Prior to State Transit Kevin worked in the banking sector, specialising in leasing, property and structured finance transactions.

Since joining TCorp Kevin has been closely involved with the evaluation and implementation of proposals for PPP and other major infrastructure projects and cross border leasing.

Jasmine Heckenberg
Analyst Corporate Finance

Jasmine Heckenberg joined TCorp in January 2005.  Previous work experience includes roles within property finance and property development.  Jasmine coordinates the transaction management of existing cross border lease and motor vehicle lease facilities, and supports her senior colleagues in the provision of corporate finance services to clients, particularly in respect of financial modelling, and database creation and extraction of asset and financing information.

Wendy Leung
Graduate Analyst Corporate Finance

Wendy Leung joined TCorp in October 2008. Prior to joining TCorp, Wendy's work experiences include roles in retail banking and in wealth management. Wendy assists in the management of existing cross border lease and motor vehicle lease transactions, and supports her senior team members with the provision of corporate finance services to clients.
